References to "Buyer", "Customer", "you", or "your" refer to the purchaser of goods or services from 3D Broadcast Ltd.
2. Business-to-Business Sales
3D Broadcast Ltd supplies goods and services strictly on a business-to-business ("B2B") basis.
By placing an order through this website, the Buyer confirms that goods are being purchased wholly or mainly for business, trade, professional, educational, broadcast, production, institutional, or commercial use and not as a consumer transaction.
The products offered on this website are professional broadcast, video, production, AV and technical products intended for use by suitably qualified persons with appropriate technical knowledge and operational competence.
Consumer protection legislation including, but not limited to:
- the Consumer Rights Act 2015;
- the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013; and
- statutory consumer cooling-off or cancellation rights,
shall not apply to purchases made in the course of business.
All sales are governed exclusively by B2B commercial contract law as applicable within England and Wales, including but not limited to:
- the Sale of Goods Act 1979;
- the Supply of Goods and Services Act 1982;
- the Unfair Contract Terms Act 1977; and
- the Late Payment of Commercial Debts (Interest) Act 1998 where applicable.
The Buyer is responsible for ensuring that products are suitable for their intended application, compatibility requirements, system integration, technical specification and operational environment prior to purchase.
Acceptance of delivery, installation, integration, configuration or use of goods constitutes acceptance of these Terms & Conditions.
3. Website Information & Product Specifications
The content of this website is provided for general information purposes only.
Whilst 3D Broadcast Ltd makes reasonable efforts to ensure information is accurate, we do not warrant or guarantee the accuracy, completeness, reliability, suitability, compatibility, availability or timeliness of any information, pricing, specifications, technical data, product descriptions, lead times, images or materials displayed on this website.
Manufacturers may change specifications, firmware, software, packaging, accessories or supplied components without notice.
All technical information, photographs, compatibility guidance and product descriptions are provided for guidance purposes only and do not form part of any binding contract unless expressly confirmed in writing by 3D Broadcast Ltd.
3D Broadcast Ltd reserves the right to:
- amend specifications;
- correct errors;
- revise pricing;
- withdraw products;
- limit quantities; and
- cancel orders at its discretion.
4. Orders & Contract Formation
All orders placed through this website are subject to acceptance and availability.
After placing an order, the Buyer will receive an automated order acknowledgement email confirming receipt of the order request.
This acknowledgement does not constitute acceptance of the order.
A legally binding contract between the Buyer and 3D Broadcast Ltd is formed only when:
- goods are dispatched; and
- a sales invoice is issued by 3D Broadcast Ltd.
3D Broadcast Ltd reserves the right to refuse or cancel any order including, without limitation, where:
- pricing errors occur;
- supplier availability changes;
- technical inaccuracies exist;
- fraud or payment concerns arise;
- export restrictions apply; or
- product availability changes unexpectedly.
5. Pricing & Payment
All prices displayed are exclusive of VAT unless otherwise stated.
Prices, specifications, lead times and availability are subject to change without notice.
Payment must be made in full prior to dispatch unless a credit account has been approved in writing by 3D Broadcast Ltd.
For approved account customers, payment terms are strictly net monthly unless otherwise agreed in writing.
Late payments may incur:
- statutory interest;
- compensation charges;
- debt recovery costs; and
- legal fees,
in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.
The Buyer shall remain liable for all costs incurred by 3D Broadcast Ltd in recovering overdue amounts.
6. VAT & International Sales
VAT is charged at the prevailing UK rate where applicable.
VAT-registered non-UK business customers must provide a valid VAT registration number at the point of order where zero-rating or reverse-charge procedures apply.
International customers are responsible for:
- customs duties;
- import taxes;
- brokerage fees;
- import licences;
- local compliance requirements; and
- all destination-country charges.
3D Broadcast Ltd accepts no responsibility for customs delays, import restrictions or local regulatory compliance issues outside the United Kingdom.
7. Delivery
Delivery dates and lead times are estimates only and are not guaranteed unless expressly agreed in writing.
3D Broadcast Ltd shall not be liable for any losses, costs, delays, production downtime or consequential damages arising from delayed or failed delivery.
Risk in the goods passes to the Buyer upon delivery to the delivery address or collection by the Buyer or its appointed carrier.
Ownership of goods remains with 3D Broadcast Ltd until full payment has been received in cleared funds.
The Buyer must inspect all goods immediately upon receipt.
Any shortages, transit damage, incorrect deliveries or discrepancies must be reported in writing within 24 hours of delivery.
Failure to notify within this period may invalidate any claim.
3D Broadcast Ltd may make partial deliveries where necessary.
8. Retention of Title
Title to all goods supplied by 3D Broadcast Ltd shall remain with 3D Broadcast Ltd until full payment has been received for all amounts due from the Buyer.
Until title passes:
- the Buyer shall store goods separately and clearly identifiable as the property of 3D Broadcast Ltd;
- goods shall not be pledged, charged or otherwise encumbered; and
- 3D Broadcast Ltd reserves the right to recover goods where payment remains overdue.
9. Cancellation & Returns
As a B2B supplier, 3D Broadcast Ltd does not operate a consumer-style approval, trial, sale-or-return or distance-selling returns policy.
Orders for:
- special-order items;
- bespoke products;
- configured systems;
- customised goods;
- firmware-activated products;
- software-enabled items; and
- non-stock products
are generally non-cancellable and non-returnable once ordered.
Any cancellation request must be submitted in writing and is subject entirely to the discretion of 3D Broadcast Ltd.
Where cancellation or return requests are accepted, the Buyer may remain liable for:
- supplier cancellation charges;
- handling fees;
- repackaging costs;
- manufacturer deductions; and
- restocking charges of up to 25%.
Approved returns must:
- be authorised in advance with a valid RMA number;
- be unused and in "as new" condition;
- include all original packaging and accessories; and
- be returned carriage paid and fully insured at the Buyer's risk.
Software, licence products, activated digital products, memory media, consumables and customised items are non-returnable unless confirmed faulty.
10. Warranty & Faulty Goods
Products are generally covered by manufacturer warranty only unless expressly stated otherwise in writing.
Warranty claims are subject to manufacturer terms, inspection procedures and technical verification.
Goods believed to be faulty may require inspection and testing before repair, replacement or refund is approved.
Where returned products are found not to be faulty, 3D Broadcast Ltd reserves the right to charge inspection, handling and return shipping costs.
The Buyer is responsible for securely packaging returned goods and retaining shipment tracking information.
11. Limitation of Liability
Nothing within these Terms excludes or limits liability where such exclusion would be unlawful under applicable law.
Subject to this, 3D Broadcast Ltd shall not be liable for:
- loss of profit;
- loss of business;
- loss of contracts;
- loss of production;
- loss of revenue;
- loss of anticipated savings;
- loss of goodwill;
- loss of data; or
- any indirect, incidental, special or consequential losses arising from the supply, installation, integration, configuration or use of goods.
The total liability of 3D Broadcast Ltd relating to any order shall not exceed the purchase price paid for the relevant goods supplied.
12. Intellectual Property
All content, graphics, branding, product data, layout, website design, images and materials on this website are owned by or licensed to 3D Broadcast Ltd.
No content may be copied, reproduced, distributed or used without prior written consent.
All third-party trademarks remain the property of their respective owners.
13. Website Use
Unauthorised use of this website may result in legal action and/or constitute a criminal offence.
You may not create links to this website without prior written permission from 3D Broadcast Ltd.
Third-party website links are provided for convenience only and do not imply endorsement.
3D Broadcast Ltd accepts no responsibility for third-party website content.
14. Force Majeure
3D Broadcast Ltd shall not be liable for any delay or failure to perform obligations resulting from events beyond its reasonable control including:
- supplier shortages;
- transport disruption;
- industrial disputes;
- cyber incidents;
- pandemics;
- government restrictions;
- natural disasters; and
- telecommunications failures.
15. Governing Law & Jurisdiction
These Terms & Conditions shall be governed by and interpreted in accordance with the laws of England and Wales.
Any dispute arising from or relating to these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
